TERMS AND CONDITIONS

These Terms and Conditions ("Terms") outline the agreement between you and Cenmed Enterprises Inc. ("Cenmed," "we," or "us") for your purchase of products and/or services. Since Cenmed offers a wide range of products and services, we have tailored terms that may apply depending on your specific order. These Terms and the Credit Application (if applicable) form a binding agreement between you and Cenmed.

NOTE: If your order includes products or services from different categories, multiple sets of terms and conditions may apply. We recommend reviewing each set to ensure a smooth transaction.

Please carefully read the section “Which Terms and Conditions Apply to My Order” below. They contain important information concerning the customers’ (“Customer,” “you,” or “your”) legal rights, warranties, obligations, and available dispute resolution remedies. They also provide that if Cenmed is unable to resolve any matter to Customer’s satisfaction, Customer exclusively agrees to the mediation and arbitration provisions outlined in this Agreement to decide the dispute, and Customer agrees it shall bring its claim solely on an individual basis and not in a class action or representative proceeding.

Which Terms and Conditions Apply to My Order?

Cancellation of an Order: We understand that situations might change, and you may need to cancel an order. You can cancel your order BEFORE you receive a “Payment Accepted” email from us. Orders are processed electronically and sent to our warehouse for fulfillment right away, so the window to cancel is limited. Cancellations cannot be made online. If we need to order the item from the manufacturer (not in stock), you can cancel within 24 hours after placing your order (as long as it hasn't been placed with the vendor yet). Unfortunately, cancellations cannot be accepted once the item is shipped (including "in transit" or long-term backorders that haven't shipped yet). If you miss the cancellation window, you can still return the unopened item, but a minimum 25% restocking fee will apply (see return policy for details). You may also be responsible for shipping and handling costs. Orders placed between Friday 5:00 PM EST through Monday 9:00 AM EST (including holidays) can only be canceled under special circumstances on the next business day, as weekend processing occurs for the upcoming week. General Catalog Products: These terms and conditions apply when buying a general catalog item. Extra terms will apply in addition to the terms and conditions stated on cenmedonline.com if the product you are purchasing is subject to Supplementary Terms or if it is an instrument that requires warranty or post-warranty instrument services.

Prices: The prices listed on our website are wholesale and may include freight, handling fees, taxes, and duties. Due to market fluctuations and potential errors, these prices are subject to change at any time without notice. For the most accurate pricing, especially on market-sensitive commodities, please get in touch with customer service or visit our website to check current listings. Export orders may have different pricing structures. Finally, Cenmed reserves the right to accept or reject any order.

Rights to Change: We reserve the right to correct typographical and printing errors and may reserve the right not to proceed with any order where we feel it will put us in a vulnerable position financially or for any other justifiable reason. The customer placing the order will be notified of the cancellation, provided a viable contact email address has been given.

Sales Tax: The Customer is responsible for paying all applicable state and local taxes or providing a valid sales tax exemption certificate. When placing an order, the Customer shall indicate which products are tax-exempt. Cenmed will collect taxes for customers in New York State and New Jersey State.

Term of Agreement: All pending or outstanding orders, refunds, or claims shall continue in effect pursuant to the terms of this agreement.

Warranty Coverage: Some items come with a manufacturer's warranty, which you can learn about by contacting the manufacturer directly. For these products, the manufacturer's warranty will apply. For all other items, we and our suppliers disclaim express or implied warranties, including those related to an item's fitness for a particular purpose, functionality, or merchantability. If a manufacturer's warranty isn't available, we don't offer any additional coverage beyond what's stated in these terms and conditions.

Exchanges: To ensure a smooth return or exchange for a defective product, please keep your original sales invoice (though we don't typically send them). All items must be returned in their original, undamaged condition. Warranties are only valid for the original purchaser and cannot be transferred. For exchanges, you'll receive a new purchase order. Our liability is limited to the original sale amount and does not cover airfreight, labor, or errors. We cannot be held responsible for lost or stolen packages during return shipment. Products damaged due to misuse, improper repairs, installation, alteration, or modification are not eligible for exchange.
